Corporate Governance and Macro-environmental Influences in Sub-Sahara Africa: A literature Review

This paper reviews the historical background of corporate governance and the emerging issues in development and practice of corporate governance in Ghana, Nigeria and South Africa. It compared the corporate governance in terms of institutions, politics, corruption, and economic factors of each country. We find that in Ghana institutional shareholders is very rare while in Nigeria and South Africa there are institutional shareholders. The shareholders associations in Ghana and South Africa are not as active as those in Nigeria. In South Africa there is a stronger institutional framework than Ghana and Nigeria, this provides an evidence to show that corporate governance practices in South Africa seems to be better than Ghana and Nigeria. Generally, corruption, bribery, politics, economic influences are the bane of effective corporate governance practice in each country. We recommend that the socio-political and economic culture in Sub-Saharan Africa Anglophone in particular Nigeria and Ghana require urgent re-orientation in order to restructure the National Institutions of each country. The corporate governance guideline should be tailored towards the politico-economic and cultural environment of those countries.
